Ads-UAE, provides an online service with the Ads-UAE services, through which the user as an advertiser can create and publish offers and requests consisting of texts and images (hereinafter “ads”) and view advertisements of other users published as an interested party. In addition, the Ads-UAE services also enable the exchange of electronic messages between advertisers and interested parties. Insofar as this is necessary for conversion into file formats suitable for the Ads-UAE services, Ads-UAE will convert the user’s ads into formats for use in mobile applications and websites, whereby Ads-UAE will in no case make any changes to the content of the ad.
The Ads-UAE services are used to publish ads and merge providers and interested parties of the listed goods and services. Ads-UAE is not itself a provider of the products advertised with the ads.
As part of the Ads-UAE services, Ads-UAE offers private users (consumers) the “Pay safely” and “Buy directly” functions. With “Secure payment” payment can be processed by a payment service provider cooperating with Ads-UAE. Buyers benefit from buyer protection. With the “Buy directly” function, buyers can accept a price set by the private seller and pay the price to the seller via “Pay immediately”. The seller can then accept the offer.
As part of the ad display and on a user’s overview page, Ads-UAE displays additional information about the user and his activities in the Ads UAE services (this can be, for example, information about the response rate and/or average response time to requests for published ads, so-called activity indicators). Ads-UAE can also mark the user on the basis of certain criteria.
Ads-UAE allows users to evaluate each other and publicly accessible based on a concrete interaction with each other. The use of the rating system is based on the principles of Ads-UAE.
Ads-UAE allows users to follow other users or ads as well as to save search requests. Ads-UAE informs the user about items on the watch list, including changes in the description or price changes, about newly listed articles of the followed users as well as about new suitable articles for a search request.
Ads-UAE publishes and promotes the Ads-UAE services and the ads placed by users itself and through third parties (in particular other platforms including social networks), for example by integrating the ads or excerpts from them on other websites, in other software applications (“apps”), in emails or in print and television advertising campaigns. Ads-UAE also allows third parties to advertise their offers and services through the Ads-UAE services. Ads-UAE may also provide third parties with access to the data, information and content published through the Ads-UAE services to support these activities. The user allows Ads-UAE the aforementioned use of its ads for the purpose of advertising and increasing the reach of the Ads-UAE services. This also applies to translations for the purpose of integrating the translated ads into foreign language offers.
Ads-UAE allows users to sort the search results according to various criteria. The order of the search results depends on the following parameters: date of the ad, price and distance.
In the standard sorting, the latest ads are displayed above without entering a place (alternatively changeable to “Cheapest first”). The ads on the search results page are limited to the place or radius by entering a location.
If a location and a radius have been selected, sorting according to the criterion “Slightest distance first” is also possible.
Ads-UAE can also offer a sorting according to the criterion of relevance for the user. If the user selects this relevance sort, ads with the title that best matches the search term will be displayed above. If the search term appears exactly in the title, the ad has a higher relevance than the ad, whose title only partially corresponds to the search term or in which the search term only appears in the ad text. With the same relevance, the latest ad will be displayed above.
Above the search results, advertisements marked as such are displayed on the search results page that match the respective search. In addition, the search results on the search results page also display ads for the highlighted presentation of which (e.g. as a top ad) the respective provider has agreed to pay an additional fee.
Below a user’s ad, other ads of the same user can also be displayed, whereby the selection and order of the user’s ads is random. In addition, a list of other ads from other users can be displayed below, which could also interest the searching user. The selection and sorting of the ads within this list depend on the similarity to the respective ad under which the list appears, as well as the parameters date of the ad, price and distance. In addition, ads within the list can also be displayed for the highlighted display (e.g. as a top ad) the respective provider has agreed to pay an additional fee, as well as clearly marked advertisements that match the content of the respective ad.
In addition, Ads-UAE can suggest certain information to the user through an automated system, such as certain ads from users on the Ads-UAE homepage. In the selection of the recommended information, data of the user can play an important role, such as previous search queries of the user and the previous surfing behavior of the user within the Ads-UAE services (to the extent that this data is available and may be used in accordance with the applicable data protection regulations for this), the location of the user as well as special actions (e.g. temporary offers).
Ads-UAE reserves the right to temporarily restrict the input possibility and retrieval of advertisements if this is necessary with regard to capacity limits, the security or integrity of the servers or for the implementation of technical measures and this serves the proper or improved provision of the services (maintenance work). Ads-UAE takes into account the legitimate interests of all users, in particular through preliminary information. In particular, for technical reasons, it may not be temporarily or only to a limited extent possible to place ads or to retrieve activated ads (unforeseen system failures).
For the full use of the Ads-UAE services, in particular for the placing of ads, the display of certain contact details of advertisers and the exchange of electronic messages with other users, a registration of the user with Ads-UAE is required. The prerequisite for registration is that the user is a natural person, legal person or partnership.
The user is obliged to provide the data collected during the registration of Ads-UAE truthfully and completely, including his telephone number, which is verified once by SMS after registration. Successful verification of the phone number is a prerequisite for the use of the Ads UAE services. Before transmitting his data, the user has the opportunity to control his data and, if necessary, to correct it by means of the displayed technical means. In the event of a change in the data after registration, the user is obliged to update the data immediately in the password-protected user area of the Ads-UAE services.
By submitting the registration form, the user makes an offer to conclude a user agreement with Ads-UAE, with which he accepts the validity of the terms of use. If Ads-UAE accepts the registration, the user will receive a confirmation email with a personalized link. With receipt of the confirmation e-mail, a contract for the use of the Ads-UAE services (hereinafter referred to as the “User Agreement”) is concluded between Ads-UAE and the user. In order to complete the registration, the user must call up the link provided with the confirmation e-mail to verify his e-mail address. The user must then verify his telephone number once. There is no entitlement to the conclusion of a user contract. The English language is available for the conclusion of the contract. The contract text (these terms of use) is available here.
With successful registration, a user account is created for the user, which he can access with the help of his e-mail address and his password chosen during registration. The password can be changed by the user at any time via the password-protected user area. It must be kept secret by the user and kept protected from access by unauthorized third parties. If the user detects or suspects that his access data are being used without authorization by a third party, he must inform Ads-UAE immediately and change his password immediately. In certain situations, such as access from abroad, the log-in to the user account can be made dependent on the entry of a code that Ads-UAE sends to the user to his verified e-mail address or telephone number.
As part of the registration, the user must indicate whether the respective user account is used exclusively for private use or exclusively for commercial or freelance use (“commercial user”). It is expressly prohibited to use a private user account for commercial or freelance purposes or a commercial or freelance user account for private purposes. Each user may only register with the Ads UAE services once for private use and for commercial or freelance use of the Ads UAE services. This means that each user may maintain a maximum of two user accounts (one user account for private and one for commercial or freelance use) at the same time. To ensure this, Ads-UAE can check as part of the registration whether the telephone number provided by the user has already been used in the context of other registrations. User accounts are not transferable.
Ads-UAE can the use of certain functions of the Ads-UAE services or the extent to which individual functions can be used, from the fulfillment of additional requirements, e.g. B. the provision of additional data, a check and verification of the user’s data, the useful life, the type of use (private or commercial or freelance), the previous payment behavior of the user and/or the submission of certain evidence, in particular, Ads-UAE can instruct the cooperating payment service provider to withhold payments to the user within the framework of the “Secure payment” function in accordance with the relevant provisions of the Platforms Tax Transparency Act (PStTG) if the user does not provide the information to be collected by law.
Ads-UAE also reserves the right to test new or changed functions and features limited to certain user groups in order to improve the user experience, insofar as this is reasonable for users taking into account the legitimate interests of Ads-UAE. This can lead to different representations with different users.
The user receives an overview of the ads he publishes on his user profile page. He also receives information about the activity indicators offered by Ads-UAE and can make changes to his settings, preferences and data. Users can view an overview of all ads published by the respective users as well as information about the activity indicators on the user profile pages of certain other users. The order of the ads in the overview on the user profile page depends on the criterion “Newest first” and can be changed by the viewing user to the criterion “Cheapest first”.
As part of the Ads-UAE services, Ads-UAE has access to various information about users, including personal data. This includes, in particular, information that users transmit to Ads-UAE as part of the Ads-UAE services (e.g. contact, address or ad information) as well as information generated during the provision and processing of the Ads-UAE services (e.g. ratings, activity indicators or communication). Users receive information via the Ads-UAE service that is necessary for the provision of the Ads-UAE service (in particular the messages and contact information of an interested buyer). Users also have access to important information they submit via the “My Account” area (especially under Messages, Ads and Settings).
Ads-UAE provides certain user groups with analysis data on their activities and the ads they place. Ads-UAE only passes on the advertisements, including the information about users contained herein, as well as other information from the Ads-UAE services, to third parties or provides access to this information to third parties if this is necessary for the provision of the Ads-UAE service (such as to increase the reach in the case of the promotion of the Ads-UAE service and the publication of the advertisements via third parties) or Ads-UAE is legally or contractually entitled to do so.
Ads-UAE informs about the processing of personal data by Ads-UAE, including the transmission to third parties and the rights of the user as the data subject, in the privacy policy.
If the user has successfully registered with Ads-UAE, he has the possibility to create his own ads free of charge via the Ads-UAE services and to publish them in the Ads-UAE services. Ads-UAE reserves the right to publish ads in certain categories only against payment of a fee. Regardless of this, Ads-UAE reserves the right to limit the number of ads published free of charge by a user within a certain period of time and to offer the publication of additional ads only against payment of a fee. The user has the possibility to select and book certain paid additional services when placing an ad or, if necessary, to book such paid additional services even after the publication of an advertisement. Ads-UAE may offer service packages with special services or conditions for certain user groups and/or in certain categories.
By entering the display data, if necessary, selecting paid additional services or selecting the desired service package and submitting the corresponding form, the user makes a binding offer to Ads-UAE to conclude a contract for the time-limited publication of the advertisement (hereinafter “advertising contract”) or a service package (hereinafter “service package contract”) in the Ads-UAE services, to which additional conditions (see the additional conditions for service package contracts) may apply. The process can be canceled at any time before submitting the form by closing the browser window or the application. The user also has the opportunity to check the content of the designed ad with the help of a preview function before submitting the form and to correct his information if necessary.
Ads-UAE can accept the offer to conclude an advertising contract or a service package contract by a separate declaration to the user or by activating the ad. With the acceptance of the offer by Ads-UAE, the advertising contract or the service package contract is concluded. Ads-UAE is not obliged to accept contractual offers from the user.
The ad data is stored electronically in each case. The user can manage his ads in the password-protected user area of the Ads UAE services, in particular delete them there. The text of the advertising contract or the service package contract will not be stored separately. However, the user can access the terms of use underlying the advertising contract or the service package contract at any time via the Ads-UAE website and then save them in a reproducible form.
Even after the conclusion of an advertising contract, it is possible for technical reasons that the ad cannot be found immediately after activation via the category search or with the help of search terms within the Ads-UAE services.
In the case of an invoice dispatch, this is done exclusively by electronic means.
The user is not permitted to offer or provide the purchased services to third parties without the consent of Ads-UAE, this applies in particular to services from a service package contract.
The user is obliged to place each ad in the appropriate category and to describe his respective offer truthfully and stating all relevant features and properties with words and, if possible, also by meaningful images. Ads-UAE can support the user, e.g. by suggesting a category or other features of the offered article based on the specified title. The user is obliged to carefully check all entries and to accept only applicable suggestions for his advertisement.
The posting of ads, texts, images or other content that violates legal provisions, these terms of use, rights of third parties or morality (hereinafter “illegal content”) is prohibited. In particular, it is forbidden to post content,
Which violate copyright, trademark and competition regulations or legal provisions for the protection of minors,
That violate the principles regarding prohibited content, or
Which contain untrue information or which is otherwise misleading.
Users who use the Ads UAE services as a commercial provider or otherwise for business purposes are subject to special legal regulations. Among other things, they are obliged to comply with the legal information obligations and, in particular, to indicate a complete provider identification that meets the legal requirements. Further information can be found on the help page of Ads-UAE. Ads-UAE does not guarantee the accuracy and completeness of the information summarized there.
The user is obliged to refrain from any actions that could endanger the secure operation of the Ads UAE services or harass other users or that otherwise go beyond the intended use of the Ads UAE services. In particular, he is obliged to refrain from
To send e-mail advertising, SMS advertising, chain letters or other harassing content,
To send viruses or other technologies that could damage the Ads UAE services or the interests or property of other users,
To expose the infrastructure of the Ads UAE services to excessive load or otherwise disrupt or endanger the functioning of the Ads UAE services,
To reproduce, make publicly available, distribute, edit or otherwise use content of Ads-UAE in a way that goes beyond the intended use of the Ads-UAE services without the prior consent of Ads-UAE,
To reproduce, make publicly available, distribute, edit or otherwise use the advertisements or other content of third parties in a way that goes beyond the intended use of the Ads UAE services without their prior consent,
To use without the express written consent of Ads-UAE crawlers, spiders, scrapers or other automated mechanisms to access the Ads-UAE services and collect content,
To collect or use information, in particular e-mail addresses or phone numbers, about other users without the prior consent of the users,
To circumvent measures that serve to prevent or restrict access to the Ads UAE services.
The user is obliged to back up and archive all data and information stored within the Ads UAE services that he currently or in the future needs or may need for the purposes of evidence, accounting or other purposes on his own storage medium.
Ads-UAE is not obliged to monitor the content transmitted or stored by the user or to actively research circumstances that indicate illegal content. However, Ads-UAE reserves the right to voluntarily examine the content transmitted and stored by the user on its own initiative and carefully at its due discretion and to take other measures to detect, detect and remove illegal content or to block access to illegal content or to take the necessary measures to comply with the legal requirements. Ads-UAE is entitled to delete ads or other content of the user posted in the Ads-UAE services in whole or in part or to delay or not carry out the publication of ads or other content of the user if there is concrete evidence that the advertisement or content constitutes illegal content within the meaning of § 4 of these Terms of Use, or that the user has otherwise violated contractual or legal obligations in a manner for which he is responsible. Ads-UAE may also warn the user in such a case and/or temporarily or permanently exclude it from using the Ads-UAE services. In the event of a temporary or permanent blocking, Ads-UAE will inform commercial users of this circumstance 30 days before the blocking takes effect and justify it on a durable data carrier (e.g. e-mail), unless there are compelling reasons to the contrary. The aforementioned period does not apply if the termination or permanent blocking takes place due to mandatory legal provisions or official order or Ads-UAE can prove that the user has repeatedly violated these terms of use.
Ads-UAE also reserves the right not to publish or remove ads from the Ads-UAE services where there is evidence that the advertised product is not freely available for sale or is otherwise offered in an illegal manner, or if there is evidence that the ad should or has been placed for abusive purposes. Ads-UAE also reserves the right to exclude certain products from an advertisement and to remove corresponding ads if these products are typically advertised for abusive purposes.
If a user has been permanently excluded from the use of the Ads UAE services by Ads-UAE or if the user contract with the user has been terminated with a corresponding notice from Ads-UAE, the user may no longer use the Ads-UAE services with other user accounts, including for third parties or user accounts created by third parties, and may not register again for registration with the Ads UAE services.
Ads-UAE will take into account the legitimate interests of the user concerned when choosing the measure, in particular whether the user is not responsible for the violation. If Ads-UAE takes one of the above measures, Ads-UAE will inform the user concerned within the framework of the legal obligations about the measure and any legal remedies to which the user is entitled with a justification. Ads-UAE uses various procedures and tools in moderating user content. Among other things, Ads-UAE uses a system for the detection of common fraud patterns including corresponding automatic filtering mechanisms, which enables Ads-UAE to detect a variety of illegal content and activities through automated and manual checking and to take appropriate measures.
In the event that a user frequently and obviously provides illegal content (for example, ads with illegal articles, jobs or services or reviews that violate the rating function principle of Ads-UAE), Ads-UAE suspends the provision of the Ads-UAE services to this user after prior warning. When deciding on the suspension, Ads-UAE evaluates on a case-by-case basis, promptly, carefully and in an objective manner whether the user provides frequent and obviously illegal content, whereby Ads-UAE takes into account all relevant facts and circumstances apparent from the available information. Such circumstances include at least (i) the absolute number of manifestly illegal content provided or submitted within a certain period of time; (ii) their relative share of the total number of content provided in a particular period of time; (iii) the severity of the cases, including the nature of the illegal content, and their consequences; and (iv) the intentions pursued by the user, if these intentions can be determined. The suspension takes place for a reasonable period of time, which is also governed in particular by the aforementioned circumstances.
If Ads-UAE takes one of the measures in accordance with this § 6, in particular in the event of a restriction, blocking or termination in accordance with § 11 of these Terms of Use, users have the opportunity to clarify the facts underlying such a measure within the framework of the internal complaint management procedure of Ads-UAE in accordance with § 7 of these Terms of Use.
The customer service of Ads-UAE is accessible free of charge for every user to submit complaints and other inquiries.
Insofar as users consider content that other users have published within the Ads UAE services (e.g. ads or ratings) to be illegal, a reporting procedure is available to them within the framework of the Ads UAE services, through which the content considered to be illegal can be reported to Ads-UAE. The reporting users must justify the reports sufficiently accurately and appropriately and, in particular, provide the elements described in the context of the reporting procedure with regard to the content considered illegal. If the message contains the electronic contact information of the reporting user, Ads-UAE will immediately send him a confirmation of receipt. Ads-UAE is free to forward the content of the report as well as the data provided during the report to the user who has set the reported content. The identity of the reporting user will only be disclosed if this is absolutely necessary. Ads-UAE processes all reports and decides promptly, carefully, free of arbitrariness and objectively about the reported information. Subsequently, Ads-UAE immediately informs the user concerned of the decision regarding the reported information and points out the possible legal remedies against this decision. Reports transmitted by trusted whistleblowers working in their designated field within the meaning of Regulation (EU) 2022/2065 (so-called Trusted Flagger) via the procedures provided for this purpose will be given priority by Ads-UAE, processed immediately and submitted to a decision.
In addition, Ads-UAE has set up an internal complaint management system for commercial users, which in particular provides them with the opportunity to submit complaints regarding the following problems directly to Ads-UAE, to the extent that they affect the user: (i) alleged non-compliance with the applicable Ads-UAE legal regulations, (ii) technical problems directly related to the provision of the Ads-UAE service, and (iii) measures or behaviors of Ads-UAE that are directly related to the provision of the Ads-UAE service.
In addition, Ads-UAE offers private and commercial users via another internal complaint management system the possibility to file a complaint against decisions of Ads-UAE after receiving a notification of illegal content (within the meaning of § 4 of these Terms of Use) and against decisions about whether, due to illegal content (i) a reported information is removed or access to it is blocked or restricted, (ii) the provision of the Ads-UAE services to the affected users is completely or partially suspended or terminated, or (iii) the user account of the affected user is suspended or closed. Complaints against the aforementioned decisions are only possible within six months from the date on which the user was informed of the decision.
Ads-UAE handles complaints submitted through one of the internal complaint management systems in a timely, non-discriminatory, careful and free of arbitrariness. If a complaint contains sufficient grounds to believe that the decision not to act in response to a report is unfounded or that the information to which the complaint relates is neither illegal nor violates these terms of use, or if it contains information showing that the behavior of the complaining user does not justify suspension or termination of the Ads-UAE services or permanent blocking of the user account, Ads-UAE shall immediately reverse the respective decision. After processing the complaint case, Ads-UAE informs the user immediately of the result of the processing and justifies his decision. In addition, Ads-UAE points out the possibility of out-of-court dispute resolution and any other available remedies in the decision according to § 7 of these terms of use. Ads-UAE ensures that complaints submitted on behalf of users by institutions, organizations or associations qualified in accordance with Regulation (EU) 2022/2065 are dealt with and decided as a matter of priority and immediately. Ads-UAE regularly reviews its internal complaint management system and records the effectiveness of the internal complaint management system for commercial users in a report.
Insofar as users often submit obviously unfounded reports or complaints, Ads-UAE suspends the processing of reports and complaints from these users for a reasonable period of time after prior warning. The procedure described under § 6 of these Terms of Use and the information there apply mutatis mutandis to often manifestly unfounded reports and complaints.
Ads-UAE charges fees for certain services provided in connection with the Ads UAE services and the use of certain functions of the Ads UAE services. Ads-UAE will expressly inform the user of the obligation to pay and the amount of the costs incurred before each booking of a fee-based service.
Prices quoted by Ads-UAE for the provision of its own services within the Ads-UAE services are in US dollars including the statutory value added tax. For services aimed exclusively at commercial users, the prices are net, i.e. plus the statutory value added tax.
Agreed fees are due for payment immediately and can be paid via the means of payment accepted by Ads-UAE. If Ads-UAE offers and accepts direct debit by means of SEPA direct debit as a means of payment, the announcement of the direct debit (“Pre-Notification”) is made with a notice period of at least five working days; the deadline for the SEPA pre-notification is accordingly shortened to five days. If the debt collection fails despite timely announcement and the user is responsible for the failure, he must reimburse Ads-UAE for the additional costs incurred as a result.
The ads and other content of users published in the Ads-UAE services do not reflect the opinion of Ads-UAE and are generally not checked by Ads-UAE for their legality, accuracy and completeness without ait. Ads-UAE assumes no liability for the accuracy and completeness of the information contained in the advertisements and also no guarantee for the quality, safety or legality of the goods or services offered by users.
Ads-UAE is liable in accordance with the statutory provisions for intent and gross negligence of Ads-UAE, its legal representatives, executives or other vicarious agents. The same applies to the assumption of guarantees or any other assumption of strict liability as well as to claims under the Product Liability Act or in the event of culpable injury to life, body or health. Ads-UAE is also liable in principle for simply negligent violations of essential contractual obligations caused by Ads-UAE, its representatives, executives and other vicarious agents, i.e. those obligations on the fulfillment of which the user regularly relies and may rely for the proper execution of the contract, but in this case limited in amount to the typically incurred, foreseeable damage. A further liability of Ads-UAE is excluded. The statutory warranty rights to which the user as a consumer is entitled, in particular in cases where digital products are defective, remain unaffected.
Insofar as the liability of Ads-UAE is excluded or limited, this also applies in favor of the personal liability of its legal representatives, executives and other vicarious agents.
The user indemnifies Ads-UAE from all claims that other users or other third parties assert against Ads-UAE because of a violation of their rights by the user’s ads and other content posted in the Ads-UAE services or for his other use of the Ads-UAE services. The user assumes the costs of the necessary legal defense of Ads-UAE, including all court and legal fees in the statutory amount. The right to exemption does not exist if the user is not responsible for the infringement.
In the event of a claim by third parties, the user is obliged to immediately provide Ads-UAE with truthful and complete information for defense that is necessary for the examination of the claims and a defense against them.
Any liability of the user beyond these regulations remains unaffected.
Unless otherwise agreed, e.g. as part of a service package, the user can terminate the user contract in text form at any time without observing a notice period. For this purpose, it is sufficient to send a notice of termination by e-mail to the customer service of Ads-UAE (support@ads-uae.com) or by post to: Teachuni LLC – User Requests, 3833 Powerline Road, Suite 201, Fort Lauderdale, 33309 Florida, United States. In the event of termination during an ongoing fee-based additional service, there is no entitlement to (pro rata) repayment.
Ads-UAE can terminate the user contract at any time with a notice period of 30 days. If an agreement has been reached between the user and Ads-UAE on a fee-based additional service associated with a certain term, and the agreed term ends only after the time specified in sentence 1, a termination by Ads-UAE is only possible with a notice period of 30 days to the end of the agreed term of the additional service. With regard to commercial users, Ads-UAE will justify the termination on a durable data carrier (e.g. e-mail), whereby the reasons may result, among other things, from § 6 of these terms of use. The user may no longer book new services from Ads-UAE from receipt of a termination declared by Ads-UAE. The deadline does not apply if the termination is due to mandatory legal provisions or an official order. Ads-UAE will justify this separately to the user, unless there are compelling reasons to the contrary. The right of Ads-UAE to delete individual ads or other content, to block users and to carry out other measures in accordance with § 6 of these terms of use as well as the right to terminate without notice for good cause remain unaffected.
Upon termination of the user contract, all running ads of the user will be removed from the Ads UAE services and the user’s user account will be deactivated. From this point on, there is no longer any access to the user account by the user. The user account and all data stored for it will be deleted no later than six months after termination of the contract. This does not apply to data whose storage Ads-UAE is legally obliged to store or in whose storage there is a legitimate interest, e.g. to prevent logging in again after a legitimate blocking. Aggregated data generated by the use can in principle continue to be kept even after the end of the contract.
Ads-UAE also reserves the right to irrevocably deactivate and delete user accounts with incomplete registration data and user accounts that have been inactive for a period of at least 12 months. Ads-UAE will notify the user accordingly on a durable data carrier (e.g. by e-mail) at least 30 days before the deletion of the user account.
Detailed information on the collection, processing and use of personal data of the user by Ads-UAE in connection with the registration, the execution of the user agreement and the use of the Ads-UAE services can be found in the privacy policy of Ads-UAE.
Ads-UAE may suggest to the user a change to these terms of use at any time. The change will be offered to the user in text form (e.g. by e-mail) within a reasonable and proportionate period, which is at least 15 days for commercial users and at least 30 days before the proposed date of the change takes effect for private users. The change offered to the user only takes effect if the user agrees to it as follows:
If it is a significant change, Ads-UAE asks the user for his express consent to this change. A significant change is such a change to these terms of use (in particular the provisions on the nature and general scope of the agreed services or on the term and termination) in favor of Ads-UAE, which significantly shifts the previously agreed relationship between service and consideration to the detriment of the user or would be equivalent to the conclusion of a completely new contract. A change to these terms of use due to a changed legal situation, a final court ruling or a temporary injunction does not constitute a significant change.
If a proposed change is not a material change in the aforementioned sense, the consent of the user is deemed to have been given if the user does not expressly reject the change to Ads-UAE in text form (e.g. by e-mail) before the proposed date of the change takes effect. If the user does not agree with the change, he is entitled to a right of termination without notice and free of charge until the proposed date of entry into force of the change. Ads-UAE points out to the user in advance in the message with which the changes are offered, in particular to the user’s right to refuse, the deadline for this and the consequences of the failure to meet the deadline as well as the possibility of termination.
The amended terms of use will also be published on the website of Ads-UAE.
In the case of a permanent provision of digital products, Ads-UAE may also make changes to these digital products to improve the security, user experience and performance of the Ads-UAE services. This does not incur any additional costs for the user. Ads-UAE will inform the user clearly and comprehensibly about such a change.
In the event of changes to digital products that more than insignificantly affect the user’s access to the digital product or the usability of the digital product, Ads-UAE will also inform the user within a reasonable period of time before the time of the change by means of a durable data carrier (e.g. by e-mail) about the characteristics and time of the change and the user’s right to terminate described below. In the event of such changes, the user can terminate the contract free of charge within 30 days. The course of the period begins with the receipt of the information described above. If the change is made after the receipt of this information, the time of receipt of the information shall be replaced by the time of the change. The user’s right of termination is excluded if the user retains the possibility of access to the unchanged digital product and the usability of the unchanged digital product at no additional cost.
For the purpose of fulfilling the contract and exercising the rights arising from this contract, Ads-UAE can make use of other affiliated companies.
Ads-UAE is entitled to transfer its rights and obligations arising from this contractual relationship in whole or in part to a third party with a notice period of four weeks. In this case, the participant is entitled to terminate the user contract.
The terms of use, the user agreement and all agreements based thereon between Ads-UAE and the user shall be governed exclusively by the law of the United States of America. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. For consumers residing outside the USA, the mandatory provisions of the consumer protection law of the Member State in which the consumer is domiciled also apply, provided that these are more advantageous to the consumer than the provisions of American law.
If the user is a merchant within the meaning of the Commercial Code, a special fund under public law or a legal entity under public law, Fort Lauderdale is the exclusive place of jurisdiction for all disputes arising from the user contract and the agreements based on it. The same applies if the user moves his place of residence abroad after conclusion of the contract or does not have a general place of jurisdiction in the USA. For users who are consumers, there is a place of jurisdiction at the respective place of residence of the user. For all disputes arising from the User Agreement and these Terms of Use, additional place of jurisdiction for consumers is Fort Lauderdale. Ads-UAE may only initiate legal proceedings against consumers before the courts at their place of residence.
Ads-UAE is neither willing nor obliged to participate in dispute resolution proceedings with consumers before a consumer arbitration board (Consumer Dispute Resolution Act (VSBG)).
Ads-UAE is willing to cooperate with the mediators listed here for the out-of-court settlement of disputes with commercial users that could not be resolved by the means of the internal complaint management system referred to in § 7 of these Terms of Use, as well as any other disputes listed here; however, before initiating such a mediation procedure, Ads-UAE recommends commercial users to try to clarify their concerns with the customer service of Ads-UAE (see § 7 of these Terms of Use) or the internal complaint management system.
Users who are affected by decisions within the meaning of § 7 of these Terms of Use have the right to choose an out-of-court dispute resolution body certified in accordance with Art. 21 para. 3 of Regulation (EU) 2022/2065 for the settlement of disputes in connection with these decisions as well as with complaints that have not been resolved with the means of the internal complaint management system referred to in § 7 of these Terms of Use. The right from No. 4 of this § 15 remains unaffected by this. Ads-UAE cooperates in good faith with the selected certified out-of-court dispute resolution body to resolve the dispute. Ads-UAE may refuse to cooperate with such an out-of-court dispute resolution body if a dispute regarding the same information and the same reasons for the alleged illegality of the content has already been settled or if the dispute could not be resolved by means of the internal complaint management system referred to in § 7 of these Terms of Use, because the user has not filed his complaint within the six-month period specified in § 7 of these Terms of Use. The approved out-of-court dispute resolution body is not authorized to impose a binding dispute resolution on the respective user and Ads-UAE.
Should individual provisions of these terms of use be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. The statutory law replaces non-included or ineffective provisions of these terms of use. If such legal law is not available in the respective case (regulatory gap) or would lead to an inadable result, the parties will enter into negotiations to make an effective regulation that comes as close as possible to it economically instead of the not included or ineffective provision.
